St Christopher Homes Ltd builds family homes across South East England. St Christopher Capital Ltd was established for a single purpose: to arrange loan note finance in support of that development activity. St Christopher Capital is not a property developer, fund manager or investment platform — it is the administrative capital-raising vehicle of the St Christopher operation.

St Christopher Capital acts as arranger only. It sources eligible investors, arranges the issuance of loan notes, and manages the ongoing investor relationship — documentation, communications and interest payment administration — in support of St Christopher Homes' development programme.

As part of the security structure, St Christopher Capital also holds an equity position in each development SPV on behalf of noteholders, representing their economic interest in the underlying development assets.

St Christopher Capital does not hold client money, does not develop property, and does not provide investment advice.

Relationship with St Christopher Homes

St Christopher Capital Ltd and St Christopher Homes Ltd are separate legal entities with common directors. They are related companies. St Christopher Homes is the residential developer whose assets underpin the loan notes arranged by St Christopher Capital. The two companies are not formally constituted as a group.

St Christopher Homes and St Christopher Capital operate on three principles — transparency with eligible investors, clarity of structure, and genuine alignment of interest through our equity position in each development.

Transparency

Full documentation — including the information memorandum, security structure, development appraisal and legal terms — is provided to every eligible investor before any commitment is made. We encourage all prospective investors to take independent financial and legal advice.

Clear Structure

The arrangement is documented in a formal loan note instrument. The security structure is registered at Companies House. The roles of St Christopher Capital and St Christopher Homes are clearly defined and legally separated. Investors know exactly what they are subscribing to.

Aligned Interests

St Christopher Capital holds an equity position in each development SPV on behalf of noteholders. This means we participate in the same economic outcome as our investors. Our interest is directly aligned with the successful delivery of each development project.
