Risk Disclosure

This disclosure sets out the principal risks associated with subscribing to loan notes arranged by St Christopher Capital Ltd. It is not exhaustive. Eligible investors must read the full risk section of the information memorandum before making any commitment.

Capital Risk

Your capital is at risk. These notes are not capital-protected instruments. You may receive back less than the amount you subscribed, or nothing at all, if the borrower is unable to repay. The security provided does not guarantee full recovery of your investment in all circumstances.

Development Risk

Residential development is subject to significant risks including planning delays or refusals, construction cost overruns, contractor failure and unforeseen site conditions. Any of these could adversely affect the borrower's ability to service interest payments or repay capital at maturity.

Property Market Risk

The value of development assets and the proceeds achievable from home sales may be adversely affected by changes in the residential property market, interest rates, mortgage availability and general economic conditions. A fall in property values could reduce the realisation value of the security and affect repayment.

Liquidity Risk

There is no secondary market for these notes. They cannot be readily sold or transferred to a third party. You should treat these as illiquid commitments for the full duration of the term. Early redemption is not guaranteed and may not be available. You should only subscribe capital you can afford to commit for the full term.

Income Risk

Interest payments are dependent on the borrower generating sufficient revenue from its development activities. If the borrower encounters financial difficulty, interest payments may be delayed, reduced or not made at all. Past payment history, where it exists, is not a reliable guide to future performance.

Regulatory Risk

These notes are unregulated instruments. They are not covered by the Financial Services Compensation Scheme (FSCS). St Christopher Capital Ltd is not authorised or regulated by the Financial Conduct Authority. It acts as arranger only — it does not hold client money and does not provide investment advice. If the borrower defaults, you will have no recourse to the FSCS.

Security Risk

The security provided comprises a debenture over the development SPV registered at Companies House, and an equity position held by St Christopher Capital Ltd in each SPV on behalf of noteholders. There is no independent security trustee. Security does not extend to the personal assets of any director of either company. The value realised on enforcement of the security may be less than the full amount owed to noteholders.
